Beracha Fund Grants Policy

GENERAL

Examples described in this policy are not exhaustive. TQI may modify this policy at any time by posting a revised version on the TQI site. By using the services or accessing the TQI Site, CLIENT agrees to the latest version of this Policy.

“BERACHA FUND GRANTS” provide financial considerations providing Client with a TQI sourced grant, subsidy, special reduced pricing, volume pricing and/or direct contribution. This includes current and subsequent outside donations and/or or investments provided directly or indirectly through our relationship network.

BERACHA FUND GRANTS are designed to reduce costs and fees from the standard costs and fees TQI charges for SaaS, 3rd Party systems and Services and TQI Professional Services. These financial considerations are paid for by TQI and/or TQI networked 3rd parties that are committed to helping NPOs, small businesses and visionary businesses gain the function and benefits afforded by the enterprise technology solutions that TQI provides.

In order to obtain the benefits of the Beracha Fund Grants, Clients must be TQI qualified with regard to their core values in 1) Leadership and Organizational Character, 2) Established Vision, 3) Verifiable Need and 4) Established Organizational and Technological Mission. A formal or informal assessment may be required to ensure Client’s qualifications at the commencement of the relationship with TQI and annually throughout the relationship.

If CLIENT violates this Policy and/or authorizes or permits others under their supervision to do so, TQI may temporarily suspend and/or terminate 100% of Client’s financial considerations whereby holding CLIENT responsible to pay for TQI’s standard costs and fees for SaaS and services instead of the subsidized fees.

1.    CLIENT Responsibilities regarding Beracha Grant funding:

  1. CLIENT understands and agrees that technology systems and services belong to TQI, and that CLIENT is given access to and benefit of these systems to help them achieve their goals, vision and mission based upon their written core values. Core Values that TQI agrees to provide special funding for includes the following:
    1. Qualified Leadership and Organizational Character
    2. Qualified and established one, two and three-year Vision
    3. Verifiable Need
    4. Established Organizational and Technology Mission
  2. Client understands and agrees with the stated need above and that their written response and execution of these core values are what qualifies or disqualifies both their initial receipt and their ongoing use of Beracha Grant funding. Therefore, Client’s consistency in the four areas is what will qualify them for special funding considerations and/or disqualify them for special funding. Contract fees may be altered and impacted immediately upon violation in the event Client materially breaches or violates this policy. This violation will negate their special funding and trigger Client’s fee payments to increase substantially.
  3. Client understands as a matter of cooperate stewardship, core values and accountability, TQI and their network of financial supporters are held responsible for the funds provided.
  4. Client understands that if they breach their core values or breach the terms of their contract, they have violated the TQI policy which originally qualified Client for special financial considerations. Therefore, Client will  forfeit the special funding from the moment they violate the policy and must begin paying TQI’s standard fees for the systems and services they utilize for the remainder of the contract(s).
    1. Example #1: If Client pays a subscription fee of $1,000 per month per an SOW and/or PCR and the fee has been reduced from a standard fee that would normally be $3,100 per month; the client must then begin paying $3,200 per month for that subscription.
    2. Example #2: If Client pays a developer rate of $92.50 per hour for developer services per an SOW and/or PCR and the fee has been reduced from a standard fee that would normally be $400 per hour; the client must then begin paying $400 per hour service.
  5. Client understands the funding provided through the Beracha Grant Funding is to be utilized solely, unless otherwise stated in writing, for the express purpose of TQI providing enterprise level technology, marketing, communications, strategy, systems, and services.
  6. Client recognizes TQI, as a funding partner, may be able to help secure additional funds through partnerships. These partnerships include foundations, investors, donors and other 3rd parties to aid in helping the Client achieve their overall goals, mission and vision.
  7. Due to the potential impact to TQI stewardship and accountability requirements, Client recognizes and agrees it will not materially change their leadership and organizational character, their vision, their established need or their mission without notifying TQI.
  8. Client recognizes and agrees that any material change in Leadership and Organizational Character, Vision, previously established Need and/or Mission may constitute a violation of Beracha Grant Funding. TQI, at their sole discretion, may revoke the funding requiring the Client to pay TQI for standard fees for systems and services that were originally made less expensive through the Beracha Grant funding. Clients will be responsible for paying standard fees for systems and services from the point of violation through the remainder of the contract.
    1. Example #1: If Client pays a subscription fee of $1,000 per month per an SOW and/or PCR and the fee has been reduced from a standard fee that would normally be $3,100 per month; the client must then begin paying $3,200 per month for that subscription.
    2. Example #2: If Client pays a developer rate of $92.50 per hour for developer services per an SOW and/or PCR and the fee has been reduced from a standard fee that would normally be $400 per hour; the client must then begin paying $400 per hour service.
  9. Client may experience an unexpected and/or unapproved employee character issue which could negatively impact the perception of the Client’s character publicly and/or privately. Should this experience take place, Client agrees to confidentially communicate the character issue to TQI along with their proposed mitigation plan. Provided the mitigation plans are acceptable to TQI, then all Beracha Grant Funding will continue as planned.
